These Terms of Service ("Terms") constitute a legally binding agreement between you and Sellmeva governing your access to and use of the sellmeva.com platform and related services.
1. Acceptance of Terms
By registering for an account, accessing the platform, or using any Sellmeva service, you agree to be bound by these Terms and our Privacy Policy, Acceptable Use Policy, and Refund Policy.
2. Eligibility
You must be at least 18 years old and authorized to represent your business entity. You must provide accurate registration information and maintain the security of your account credentials.
3. Platform Description
Sellmeva is a B2B dropshipping marketplace that connects product suppliers with online retailers. We provide catalog management, store integrations, order routing, payment processing facilitation, and related tools. Sellmeva is not a party to transactions between suppliers and retailers except as a technology platform provider.
4. Account Types & Responsibilities
4.1 Suppliers
Suppliers are responsible for the accuracy of product listings, pricing, inventory levels, product legality, quality, packaging, and timely fulfillment. Suppliers must comply with applicable export, import, and consumer protection laws in destination markets.
4.2 Retailers
Retailers are responsible for their storefronts, customer communications, pricing to end consumers, and compliance with marketplace policies on connected sales channels. Retailers must ensure imported products comply with local regulations.
5. Orders & Payments
Platform orders are created when a connected store receives a customer order. Retailers authorize payment via Stripe, including optional auto-pay functionality. Platform fees, if applicable, are disclosed during checkout or in account settings. Sellmeva facilitates payment routing but does not guarantee supplier performance.
6. Disputes Between Users
Product quality, shipping delays, and fulfillment disputes are primarily between suppliers and retailers. Sellmeva provides dispute tools but is not liable for product defects, misrepresentation, or delivery failures. See our dispute resolution process in the platform dashboard.
7. Intellectual Property
Sellmeva retains all rights to the platform, software, branding, and documentation. Suppliers retain rights to their product content but grant Sellmeva a license to display and distribute catalog data to authorized retailers. You may not copy, reverse engineer, or resell platform access.
8. API & Integration Use
API access is subject to rate limits and documentation. You may not use integrations to scrape data, circumvent security, or overload platform infrastructure. Webhook endpoints must be kept secure.
9. Prohibited Conduct
See our Acceptable Use Policy. Violations may result in immediate account suspension or termination.
10. Service Availability
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Shopify, Stripe, etc.), and force majeure events may affect platform access.
11. Limitation of Liability
To the maximum extent permitted by law, Sellmeva shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Our total liability shall not exceed the fees paid by you to Sellmeva in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify Sellmeva against claims arising from your use of the platform, your products, your storefront, or your violation of these Terms.
13. Termination
Either party may terminate the account at any time. We may suspend or terminate accounts for Terms violations, fraud, or legal requirements. Upon termination, data export may be available for a limited period subject to our retention policy.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which Sellmeva operates, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration or competent courts as specified in your jurisdiction.
15. Changes
We may modify these Terms with notice via email or platform announcement. Continued use after the effective date constitutes acceptance.
